These Terms of Service (“Terms”) govern your access to and use of Forkads and any related website, software, platform, product, tool, or service (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you should not use the Services.

1. The Services

Forkads provides AI-powered creative tools that may include image generation, video generation, voice generation or transformation, synthetic UGC creation, ad creative tools, avatar-based content production features, and subscription or credit-based systems.

Forkads may update, modify, limit, discontinue, or remove features at any time.

2. Eligibility

You may use the Services only if you have legal capacity to enter into a binding agreement and use the Services in compliance with applicable law.

You agree to provide accurate information and keep it reasonably updated.

3. Accounts

You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your account, restricting unauthorized access, and all activity that occurs under your account.

You may not impersonate another person or entity, create accounts through unauthorized automation, or share or resell access unless expressly authorized.

Forkads may suspend or terminate accounts for security, billing, abuse, policy, legal, or operational reasons.

4. Subscriptions, Billing, and Credits

Paid plans

Forkads may offer free and paid plans, including monthly, annual, usage-based, or custom plans.

Credits

Certain features may require credits. Credits may be consumed depending on the action performed, may expire or reset depending on the plan, have no cash value unless expressly stated otherwise, and are non-transferable unless Forkads expressly allows it.

Price changes

Forkads may change prices, features, limits, usage rules, or credit policies at any time. Changes will apply according to the applicable billing cycle and applicable law.

Auto-renewal

Unless otherwise stated, subscriptions may renew automatically at the end of each billing period until canceled.

Cancellation

You may cancel your subscription at any time. Cancellation will generally stop future renewals but does not automatically entitle you to a refund for prior charges unless required by law or expressly stated otherwise.

Refunds

Payments are generally non-refundable unless required by applicable law or expressly stated in a separate refund policy.

5. Payments and Third-Party Processors

Payments may be handled by third-party providers, including payment processors such as Stripe or similar services.

Forkads is not responsible for bank declines, processor outages, card issuer restrictions, payment holds, fraud screenings, chargeback decisions, or third-party billing errors outside Forkads’ reasonable control.

By purchasing a plan, you may also be subject to the third-party payment processor’s terms and policies.

6. License to Use the Services

Subject to these Terms, Forkads grants you a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license to access and use the Services for their intended purpose.

No ownership rights are transferred to you.

7. Intellectual Property

Forkads and its licensors retain all rights, title, and interest in and to the Services, including software, interfaces, designs, trademarks, branding, documentation, workflows, proprietary systems, and platform content.

You may not copy, reverse engineer, decompile, scrape, resell, sublicense, reproduce, or create derivative works based on the Services, except where expressly permitted in writing.

8. User Content

You retain rights in content you upload to the extent you actually own or control those rights.

You represent and warrant that you have all necessary permissions, licenses, and consents to upload, process, transform, generate from, and use your content.

You grant Forkads a limited, non-exclusive license to host, store, reproduce, process, modify, transmit, and display your content only as necessary to operate, secure, maintain, improve, and provide the Services.

Forkads may remove, restrict, or disable access to content that is unlawful, abusive, infringing, risky, or inconsistent with these Terms.

9. AI Outputs

The Services may generate outputs automatically based on your prompts, uploads, or instructions.

You acknowledge that outputs may not be unique, may contain mistakes or inaccuracies, may resemble content generated for others, may not be suitable for legal, regulated, or high-risk use cases, and require human review before public or commercial use.

Forkads does not guarantee originality, non-infringement, merchantability, fitness for a particular purpose, or legal compliance of outputs.

You are solely responsible for reviewing and using outputs.

10. Likeness, Voice, and Third-Party Materials

You must not use the Services to generate, clone, alter, simulate, or publish content involving a person’s likeness, face, image, voice, identity, or brand assets without all necessary permissions and legal rights.

You are solely responsible for obtaining all rights required for any material you upload or any output you publish, distribute, or monetize.

11. Prohibited Uses

You may not use the Services to violate any law or regulation, infringe intellectual property or privacy rights, impersonate others without authorization, create deceptive deepfakes or fraudulent content, harass, defame, threaten, or abuse others, generate unlawful sexual content, promote violence, hate, or terrorism, evade platform safeguards or billing rules, scrape or attack the platform, overload infrastructure, resell or share access without authorization, or use the Services in a way that creates material legal, reputational, or security risk for Forkads or others.

12. Disclosure of Synthetic or AI Content

Where required by law, regulation, advertising standards, or platform rules, you are responsible for clearly disclosing that content was generated, altered, or assisted by AI.

Forkads is not responsible for your failure to make required disclosures.

13. Availability

Forkads does not guarantee uninterrupted, secure, or error-free operation. The Services may be unavailable due to maintenance, upgrades, outages, third-party failures, abuse prevention measures, or operational changes.

14. Beta Features

Some features may be labeled beta, preview, or experimental. These may be changed or removed at any time and are provided as-is.

15. Termination

Forkads may suspend or terminate access to the Services at any time, with or without notice, if you violate these Terms, if payment issues arise, if fraud, abuse, or chargeback risk is detected, or if legal, security, or operational concerns require it.

Termination does not waive accrued rights or obligations.

16. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Forkads disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and accuracy or reliability of outputs.

17. Limitation of Liability

To the fullest extent permitted by law, Forkads will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunity, or data.

To the fullest extent permitted by law, Forkads’ total aggregate liability arising out of or relating to the Services will not exceed the amount you paid to Forkads in the 12 months preceding the event giving rise to the claim.

18. Indemnification

You agree to defend, indemnify, and hold harmless Forkads and its affiliates, personnel, contractors, and providers from and against claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, your content, your outputs, your violation of these Terms, your violation of third-party rights, or your misuse of likeness, voice, identity, or commercial assets.

19. Privacy

Your use of the Services is also governed by the Privacy Policy.

20. Governing Law

These Terms will be governed by and construed under the laws of the applicable jurisdiction, without regard to conflict of law principles.

Any dispute will be subject to the competent courts of the applicable jurisdiction, unless mandatory law requires otherwise.

21. Changes to These Terms

Forkads may update these Terms from time to time. The updated version will be posted with a revised “Last updated” date. Continued use of the Services means you accept the updated Terms.
